01 Acceptance of Terms & Engagement Structure

These Terms of Service ("Terms") constitute a legally binding agreement entered into between Praxion Veritas ("Company", "we", "us", or "our") and the client entity or individual user ("Client", "Participant", or "you") accessing our website (praxionveritas.com), engaging our management consulting services, taking part in diagnostic assessments, attending capability building programs, or participating in executive simulation labs.

By visiting our website, submitting an inquiry, signing a proposal, or executing a Statement of Work ("SOW") or Master Services Agreement ("MSA") referencing these Terms, you unconditionally accept and agree to be bound by all provisions set forth herein. If an executed SOW or MSA explicitly conflicts with these Terms, the specific terms of the executed SOW/MSA shall prevail solely with respect to that distinct commercial mandate.

02 Scope of Advisory & Talent Diagnostic Services

Praxion Veritas provides specialized human capital advisory, leadership assessments, and organizational capability services across four foundational practice areas:

  • Assessments & Diagnostics: Psychometric profiling, behavioral simulation centers, 360-degree multi-rater feedback, potential identification, and succession bench evaluation.
  • Capability Building: High-impact sales mastery academies, managerial development journeys, customer orientation frameworks, and frontline skill building.
  • Leadership Development: Executive simulation labs, high-potential (HiPo) fast-track interventions, business acumen workshops, and 1:1 executive coaching.
  • Consulting & Talent Advisory: Strategic workforce planning, competency architecture design, organization design, performance management framework overhaul, and culture diagnostics.

03 Client Warranties & Participant Data Authorization

When an enterprise Client sponsors employees, contractors, or prospective candidates to undergo assessments or development journeys facilitated by Praxion Veritas, the Client represents and warrants that:

  • The Client possesses full legal authority, lawful legitimate basis, and has secured all required employee/candidate notices or consents under applicable data protection laws (including DPDP Act 2023 and GDPR) to provide participant personal and professional information to Praxion Veritas.
  • The Client will use assessment findings, diagnostic profiles, and development roadmaps strictly in compliance with applicable employment, civil rights, and labor legislation, and will not utilize any diagnostic report in an unlawful or discriminatory manner.
  • The Client will maintain the confidentiality of individual participant diagnostic profiles within its internal human resource governance committees.

04 Intellectual Property Rights & Proprietary Frameworks

All intellectual property rights in and to our proprietary assessment methodologies, simulation case studies, business roleplay scenarios, competency matrices, psychometric scoring algorithms, workshop slide decks, facilitator guides, and development frameworks ("Praxion Veritas IP") remain the sole and exclusive property of Praxion Veritas and its licensors.

License Grant & Restrictions

Subject to full payment of applicable engagement fees, Praxion Veritas grants the Client a perpetual, non-exclusive, non-transferable, royalty-free license to use the final customized diagnostic reports and participant evaluation outputs generated specifically for the Client, strictly for internal human resource planning and talent development purposes. The Client shall not reverse engineer, record, publish, distribute, resell, or train internal AI models on Praxion Veritas simulation exercises or diagnostic toolkits without prior written authorization.

05 Professional Disclaimer (Non-Clinical & Non-Legal)

Management Consulting & Development Tool Disclaimer

All psychometric evaluations, behavioral simulations, coaching conversations, and advisory recommendations provided by Praxion Veritas are structured tools intended solely for organizational management, leadership development, and strategic talent optimization. Our services do not constitute psychological diagnosis, psychiatric counseling, clinical therapy, legal labor advice, or statutory employment guarantees.

The Client acknowledges and agrees that all ultimate decisions regarding employee hiring, promotion, compensation, organizational restructuring, disciplinary action, or termination remain the sole, independent managerial responsibility of the Client. Praxion Veritas disclaims any liability arising out of independent employment decisions enacted by the Client.

06 Confidentiality & Non-Disclosure

"Confidential Information" encompasses all proprietary data, business plans, financial records, employee rosters, diagnostic evaluations, coaching reflections, and trade secrets disclosed by either party during the engagement.

  • Both parties agree to hold all Confidential Information in strict confidence using the same degree of care (and not less than reasonable care) they use to protect their own confidential data.
  • Praxion Veritas will not disclose individual assessment results or 1:1 executive coaching reflections to external third parties without express written permission, except as required to fulfill the client engagement or comply with a binding court subpoena.
  • Confidentiality obligations survive termination of the commercial engagement for a period of five (5) years, while trade secrets and proprietary assessment algorithms remain protected indefinitely.

07 Simulation Lab Scheduling, Cancellations & Rescheduling

Executive Assessment Centers and Simulation Labs involve reserved certified assessors, customized actor simulations, and dedicated scheduling resources. Consequently, the following cancellation and rescheduling schedule applies to all scheduled cohort interventions:

Notice Provided Prior to Lab / Workshop Date Rescheduling / Cancellation Fee Obligation
More than 14 Business Days Notice No penalty. 100% of fees credited to rescheduled cohort session.
Between 7 and 14 Business Days Notice 50% of laboratory staging & assessor reservation fee payable.
Fewer than 7 Business Days Notice / No-Show 100% of scheduled simulation lab & assessor fee payable.
1:1 Executive Coaching Sessions Requires minimum 24 hours notice for rescheduling; otherwise session is deemed redeemed.

08 Professional Fees, Invoicing & Payment Terms

Professional advisory fees are structured on a fixed-project milestone, per-participant assessment fee, or retainer basis as set forth in the applicable Statement of Work.

  • Invoicing Terms: Invoices are payable within thirty (30) calendar days from the invoice date (Net 30) unless alternative terms are agreed upon in writing.
  • Taxes: All fees are exclusive of applicable statutory taxes, Goods and Services Tax (GST), value-added taxes, or withholding taxes, which shall be added to invoices as required by law.
  • Late Payments: Uncontested invoices overdue beyond thirty (30) days accrue interest at the rate of 1.5% per month (or the maximum legal rate, whichever is lower), and Praxion Veritas reserves the right to suspend ongoing diagnostic platform access or session delivery until accounts are brought current.

09 Limitation of Liability & Mutual Indemnification

Waiver of Consequential Damages: To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of business profits, goodwill, data loss, or business interruption, arising from or related to the services.

Aggregate Liability Cap: In no event shall the total aggregate liability of Praxion Veritas arising under or relating to any Statement of Work exceed the total professional fees actually paid by the Client to Praxion Veritas under the specific Statement of Work giving rise to liability during the twelve (12) months preceding the incident.

Client Indemnity: Client agrees to defend, indemnify, and hold harmless Praxion Veritas and its partners, assessors, and consultants from any third-party claims or regulatory penalties resulting from Client's unlawful breach of participant data protection warranties or discriminatory employment decisions.

10 Term & Termination

These Terms remain effective as long as you access the website or during the active duration of any Statement of Work. Either party may terminate an ongoing SOW for cause upon thirty (30) calendar days written notice if the other party commits a material breach and fails to cure such breach within the 30-day notice window. Upon termination, Client shall pay Praxion Veritas for all completed milestones and pro-rated work performed up to the effective termination date.

11 Dispute Resolution & Governing Law

These Terms and any commercial dispute arising out of or in connection with our services shall be governed by and construed in accordance with the substantive laws of India, without regard to conflicts of law principles.

The parties agree to attempt in good faith to resolve any dispute through direct senior executive negotiations for a period of thirty (30) days. If unresolved, the dispute shall be finally settled by binding commercial arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Pune/Mumbai, India, and proceedings shall be conducted in the English language.

12 General Provisions & Legal Contact

Severability: If any provision of these Terms is determined by an arbitral tribunal or court of competent jurisdiction to be unenforceable, such provision shall be severed or modified to reflect the parties' original intent, and the remaining provisions shall remain in full force.

Entire Agreement: These Terms, together with any executed SOW, MSA, and our Privacy Policy, constitute the complete agreement between the parties regarding the subject matter herein.
